1. Agreement to Terms

By accessing or using BuildersAI (the "Service"), including our mobile app and website, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

These terms constitute a legally binding agreement between you and CM Digital Solutions Ltd ("we", "us", "our"), a company registered in England and Wales.

2. Eligibility

You must be at least 18 years old to use our Service. If you are using the Service on behalf of a company or organisation, you represent that you have the authority to bind that entity to these terms, and "you" refers to both you individually and the entity.

3. Description of Service

BuildersAI is a construction project management platform that provides:

Photo documentation and organisation
File storage and sharing
Team collaboration features
AI-powered assistant for project queries
Offline-capable mobile application
Cross-device synchronisation

We aim for 99.5% uptime but do not guarantee uninterrupted access. Planned maintenance will be communicated with reasonable notice where possible.

4. Account Registration

To use our Service, you must create an account. You agree to:

Provide accurate, current, and complete registration information
Keep your account information up to date
Maintain the security of your login credentials
Notify us immediately of any unauthorised access
Accept responsibility for all activity under your account

Email verification is required to activate your account. We reserve the right to verify business accounts.

5. Subscription and Payments

Free Plan

Our Free plan provides access to core features with a limit of 5 users per project. No payment is required.

Paid Plans

Paid subscription plans (Starter and Professional) are billed monthly. Prices are displayed in British Pounds (GBP) and exclude VAT where applicable. Payments are processed securely by Stripe.

Billing and Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled. You can cancel at any time from your account settings and will retain access until the end of your current billing period. No refunds are provided for partial periods, except as required by law.

Consumer Rights

Under UK consumer law, you have a 14-day cooling-off period for new subscriptions during which you may cancel for a full refund. This right may be waived if you request immediate access to the Service.

Price Changes

We will provide at least 30 days email notice before any price increases take effect. You may cancel before the new price applies.

6. Your Content

You retain full ownership of all content you upload to BuildersAI ("Your Content"), including photos, files, documents, and project data. We claim no ownership rights over Your Content.

By uploading content, you grant us a worldwide, non-exclusive, royalty-free licence to store, process, display, and transmit Your Content solely for the purpose of providing and improving our Service. This licence includes the right to:

Store and back up your content for data protection
Display your content to you and authorised team members
Process content through AI systems to provide features
Analyse aggregated usage patterns to improve our products
Review content for safety and terms compliance

This licence terminates when you delete Your Content or your account. You are responsible for ensuring you have the necessary rights to upload any content and that it does not infringe third-party intellectual property rights.

7. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

Upload illegal, harmful, defamatory, or infringing content
Attempt to hack, reverse-engineer, or compromise the Service
Use AI features to generate harmful, illegal, or abusive content
Share account credentials with unauthorised users
Resell, redistribute, or white-label the Service
Use automated scraping or data extraction tools
Impersonate others or create fraudulent accounts
Interfere with other users' use of the Service
Exceed reasonable usage limits or abuse system resources

We may remove content that violates these terms and suspend or terminate accounts for serious or repeated violations.

8. AI Features Disclaimer

Important: AI features are provided as an assistance tool only. AI is NOT a replacement for professional judgement and is NOT a substitute for qualified construction, engineering, or architectural advice.

When using AI features, please be aware that:

AI responses may contain errors or inaccuracies
AI may not have current information about building regulations
AI should not be relied upon for structural calculations
AI does not provide legal, engineering, or safety advice
You should always verify AI suggestions with qualified professionals

Your AI conversations may be logged for quality improvement purposes. Do not share sensitive personal information in AI chats. Your data is NOT used to train AI models.

9. Intellectual Property

The BuildersAI name, logo, branding, software, algorithms, and all related intellectual property are owned by CM Digital Solutions Ltd and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive licence to use the Service as intended. You may not copy, modify, distribute, sell, or lease any part of our Service, nor reverse-engineer or attempt to extract source code.

10. Data Protection

Your privacy is important to us. Please review our Privacy Policy for details on how we collect, use, and protect your data.

Key points: We comply with UK GDPR. All data is processed exclusively within EU data centres (no international transfers). You can request data export or deletion at any time through your account settings or by contacting us.

11. Third-Party Services

Our Service integrates with third-party providers for database hosting, payments, AI processing, and analytics. These services have their own terms and privacy policies. We are not responsible for third-party service availability or their handling of your data beyond our contractual agreements with them.

12. Limitation of Liability

To the maximum extent permitted by UK law:

Liability Cap: Our total liability for any claims arising from the Service is limited to the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) £100.

Exclusions: We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business opportunities. We are not liable for decisions made based on app content or AI suggestions, construction errors, project delays, third-party service failures, or force majeure events.

Consumer Rights: Nothing in these terms affects your statutory rights as a consumer under UK law, including rights under the Consumer Rights Act 2015. We do not exclude liability for death or personal injury caused by our negligence.

13. Indemnification

You agree to indemnify and hold harmless CM Digital Solutions Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your content, your use of the Service, your violation of these terms, or your violation of any third-party rights or applicable law.

14. Termination

Termination by You

You may cancel your subscription at any time from your account settings. You may request account deletion through privacy settings or by contacting us. Your data will remain available for export for 30 days after cancellation.

Termination by Us

We may suspend your account for suspected terms violations pending investigation. We may terminate accounts with 30 days notice for convenience. We may immediately terminate accounts for serious violations including illegal activity, security threats, repeated policy violations, or fraud.

Effect of Termination

Upon termination, your access to the Service will be revoked. Your content will remain available for export for 30 days. Certain provisions of these terms (including liability, indemnification, and governing law) survive termination.

15. Service Modifications

We may modify, update, or discontinue features of the Service at any time. Major changes will be communicated with reasonable notice. If we discontinue the Service entirely, we will provide 90 days notice where possible, data export assistance, and pro-rata refunds for prepaid subscriptions.

16. Dispute Resolution

If you have a dispute with us, please contact us first at legal@buildersai.co.uk. We will attempt to resolve disputes informally through good faith negotiation for 30 days before any legal action.

17. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. As a consumer, you may also have rights in your local courts.

18. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by email at least 30 days in advance and provide a summary of what has changed. Your continued use of the Service after changes take effect constitutes acceptance of the new terms. If you disagree with changes, you should discontinue use before the effective date.

19. General Provisions

These terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service. If any provision is found invalid, the remainder continues in effect. Our failure to enforce any provision is not a waiver of that right. We may assign these terms in connection with a merger or acquisition; you may not assign without our consent.
